How to incorporate as an Illinois nonprofit organization

1. Select and reserve your corporate name. To find out if your name is available, contact:

To reserve the name you want for 90 days, submit a $25 fee and either a written request or the articles of incorporation form (Form NP-104.10) to the same address.

2. Prepare Form NP-102.10 and submit it with a $50 registration fee to:

It takes 2 to 4 weeks for confirmation and receipt of a state charter.


3. After you receive the certificate and Form NP-102.10 from the Secretary of State, you must file with the recorder of Deeds Office in the county in which the registered office of the nonprofit organization is located. In Cook County, there is a fee of $13 for the first two pages and $1 for each additional page.

4. Hold an organizational meeting of your Board of Directors to:
a) Adopt bylaws
b) Elect officers
c) Adopt a corporate seal
d) Open a bank account
e) Approve filing for tax-exempt status
f) Approve other necessary actions
